Terms of Service

1. Acceptance of Terms

By accessing or using the OPSIS platform (the "Service") provided by Hues Technology LLC ("OPSIS," "we," "us," or "our"), a Virginia-based SaaS company, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a Managed Service Provider (MSP) or other entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

OPSIS provides a cloud-based autonomous IT operations platform for Managed Service Providers. Our Service monitors managed endpoints, diagnoses technical issues, and provides autonomous remediation for recurring IT problems and Microsoft 365 tenant security gaps through our website at opsisapp.com.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. Access is limited to authorized personnel of your organization. OPSIS reserves the right to refuse service or terminate accounts in its sole discretion for security and compliance reasons.

4. Subscription and Payment

Access to the Service is provided on a subscription basis. You agree to pay all fees associated with your chosen plan. All payments are non-refundable except as required by applicable law or explicitly stated in a primary service agreement signed by both parties.

5. Acceptable Use

You agree not to use the Service to: (a) violate any local, state, or federal laws; (b) reverse engineer the platform logic; (c) interfere with the security or performance of the Service; or (d) transmit any malware or malicious code. Any violation of this policy may result in immediate suspension of the Service.

6. Customer Data and Privacy

You retain all rights to the data you provide to the Service. Our use of your data is governed by our Privacy Policy. You grant us a non-exclusive license to process your data solely for the purpose of providing, maintaining, and improving the Service's autonomous remediation capabilities.

7. Endpoint Agent

The Service requires the installation of an endpoint agent on managed devices. We grant you a limited, non-exclusive license to deploy this agent on devices owned or managed by your MSP clients. This license is valid only during the term of an active subscription.

8. Microsoft 365 Integration

To provide security monitoring and license yield intelligence, OPSIS requires API-level access to your managed tenants via secure OAuth 2.0 protocols. You represent and warrant that you have the necessary client permissions and consents to grant this access to our platform endpoints via secure application registrations.

9. Service Availability

While we target 99.9% uptime, the Service is provided "as is" and "as available". Hues Technology LLC does not guarantee that access will be entirely uninterrupted or error-free. We strive to provide performance consistency across all our cloud-based infrastructure layers.

10. Intellectual Property

The OPSIS platform, its proprietary remediation logic, code, and branding are the exclusive intellectual property of Hues Technology LLC. You may not reproduce, modify, or distribute any part of the platform without our explicit written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Hues Technology LLC shall not be liable for any indirect or consequential damages. In no event shall our total aggregate liability for any and all claims exceed the amount paid by you for the Service in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold Hues Technology LLC harmless from any third-party claims, losses, or expenses (including legal fees) arising from your violation of these terms, your data, or any unauthorized use of the Service on your behalf.

13. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion, without notice, for non-payment or any material breach of these terms. Upon termination, your right to use the Service ends immediately, and you must remove the endpoint agent from your managed devices to comply with security requirements.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located within the Commonwealth of Virginia.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes become effective upon being posted to the OPSIS website at opsisapp.com. Your continued use of the Service after any changes are published constitutes your binding acceptance of the updated conditions.
